3.2 Order Confirmation & Binding Agreements

A binding purchase agreement is established only upon JSVS's written confirmation of a Purchase Order (PO). Verbal agreements, website inquiries, or email correspondence prior to PO confirmation do not constitute binding commitments. All orders must specify:

Standard production lead times are indicative and subject to order volume, customization complexity, and raw material availability. JSVS will provide a confirmed lead time upon order acceptance. JSVS shall not be held liable for delays caused by force majeure events, port congestion, or circumstances beyond its reasonable control. Title and risk of loss transfer to the Client in accordance with the agreed Incoterms specified in the purchase agreement.

3.5 OEM/ODM Customization Terms

Custom orders are subject to additional terms:

• The Client is responsible for the accuracy of all provided design files, brand assets, Pantone color codes, and specifications. JSVS will produce according to approved artwork.
• Sample approval by the Client constitutes written acceptance of the final production specifications.
• The Client warrants that all provided branding materials do not infringe upon third-party intellectual property rights. Any legal claims arising from Client-provided materials are the sole responsibility of the Client.
• JSVS reserves the right to decline OEM/ODM requests that violate applicable laws or conflict with JSVS's quality or safety standards.

3.6 Order Cancellation & Modifications

Order cancellations or modifications must be submitted in writing. Cancellations after production commencement may result in forfeiture of the deposit and cost recovery charges for materials already consumed. JSVS will assess cancellation feasibility on a case-by-case basis and communicate applicable charges transparently.

4.1 Quality Standards

All JSVS products are manufactured using food-grade raw materials and undergo rigorous multi-stage quality control. Steel cylinders complete 12 production steps; aluminum cylinders complete 120 production steps. Required testing includes hydraulic pressure testing, burst testing, leak detection, and comprehensive cleaning procedures. Every unit passes 100% final inspection before shipment.

4.2 Quality Claims Procedure

In the event of documented quality defects attributable to JSVS manufacturing, the following procedure applies:

1. 1 Submit written claim to JSVS within 14 calendar days of goods receipt, including photographic evidence, batch numbers, and quantity affected.
2. 2 JSVS will assess the claim within 5 business days of receiving all required documentation.
3. 3 Verified quality claims will be resolved through 1× compensation (replacement goods equivalent in value to the defective quantity) in the Client's subsequent order.

4.3 Customs Seizure Compensation

JSVS maintains established logistics partnerships with customs clearance expertise and legal documentation support. In the event that shipments are seized by customs authorities due to documentation or regulatory non-compliance attributable to JSVS, full compensation will be provided as agreed in the specific shipment arrangement. Compensation scope and conditions are detailed in individual export agreements. Claims arising from Client's failure to comply with import regulations in the destination country are excluded.

6.1 Aggregate Liability Cap

To the maximum extent permitted by applicable law, JSVS's total aggregate liability to the Client for any claims arising under or in connection with these Terms of Service or any purchase agreement shall not exceed the total value of the specific order giving rise to the claim, as specified in the confirmed Purchase Order.

6.2 Exclusion of Consequential Damages

JSVS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Neither party shall be liable for delays or failure to perform obligations resulting from causes beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, wars, civil unrest, port closures, transportation disruptions, or industrial disputes. The affected party shall promptly notify the other party in writing and use commercially reasonable efforts to mitigate the impact.

6.4 Website Disclaimer

This website is provided "as is" without warranties of any kind, express or implied. JSVS does not warrant that the website will be uninterrupted, error-free, or free of viruses. JSVS shall not be liable for any damages arising from reliance on website content or any technical failures affecting website access.

6.5 Client's Regulatory Compliance Responsibility

The Client bears sole responsibility for ensuring that the import, distribution, storage, and end-use of products comply with all applicable laws, regulations, and standards in the destination country or region. JSVS shall not be liable for any fines, penalties, or losses arising from the Client's regulatory non-compliance in their market jurisdiction.

7.1 JSVS Intellectual Property

All content on this website -- including but not limited to text, graphics, logos, product designs, manufacturing processes, technical data, and website code -- is the proprietary intellectual property of JSVS or its licensors. No content may be reproduced, distributed, or used for commercial purposes without prior written authorization from JSVS.

7.2 Client Brand Ownership

For OEM/ODM orders, the Client retains full ownership of their brand assets, trademarks, and proprietary designs provided to JSVS. JSVS will not replicate, use, or disclose Client-specific designs for any third-party order without explicit written consent. JSVS may not use the Client's brand or products in marketing materials without prior written approval.

7.3 Confidentiality

Both parties agree to maintain strict confidentiality of any proprietary information exchanged during the course of the business relationship, including but not limited to pricing terms, production methods, product formulations, and strategic business information. This obligation survives the termination of any purchase agreement for a period of five (5) years.

8.1 Business Data Collection

JSVS collects business contact information and procurement details provided through this website solely for the purpose of responding to inquiries, processing orders, and maintaining business relationships. Data collected may include:

JSVS will not sell, rent, or share business contact information with third parties for marketing purposes. Data may be shared with logistics partners, banks, and legal advisors strictly as required to fulfill contractual obligations. JSVS implements appropriate technical and organizational measures to protect business data against unauthorized access or disclosure.

9.1 Good Faith Negotiation

In the event of any dispute, controversy, or claim arising from or relating to these Terms of Service or any purchase agreement, both parties agree to first attempt resolution through good faith negotiation. The disputing party shall provide written notice describing the nature of the dispute, and both parties shall endeavor to reach a mutually acceptable resolution within thirty (30) calendar days of such notice.

9.2 Arbitration

If good faith negotiation fails to resolve the dispute within the designated period, either party may submit the dispute to binding arbitration. Arbitration shall be conducted in Jiangsu Province, People's Republic of China, in accordance with the rules of a mutually agreed arbitration body. The arbitration proceedings shall be conducted in English and/or Mandarin Chinese as agreed by both parties. The arbitral award shall be final and binding.

9.3 Governing Law

These Terms of Service and all purchase agreements between JSVS and the Client shall be governed by and construed in accordance with the laws of the People's Republic of China. The United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply where appropriate unless explicitly excluded in a specific purchase agreement.

9.4 Amendments & Severability

JSVS reserves the right to amend these Terms of Service at any time. Material changes will be communicated through the website or direct notification. Continued engagement after notification constitutes acceptance of revised terms. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
